Farshad, cvs export might need you to specify a tag, because it's designed to let you release a precise version from the repository, which the 'latest' version isn't (or won't be in 2 weeks time). Having said that, I believe:
cvs export -rHEAD proj_name will do it, assuming you're not using branches. I'm not sure the exclamation marks are a valid part of the command syntax either.
