Please change the kernel configuration for Ubuntu 10.10 so that vmware-balloon driver is compiled as a module (CONFIG_VMWARE_BALLOON=m). The driver has to be compiled as a module to allow our installer detect that the driver is being supplied by the distribution and prevent installer from overwriting it. Also please ocnsider applying the following patch to the driver which fixes issue with the driver may start consuming excessive amount of memory during torture tests. The patch is in 2.6.32-rc2 and should make its way to stable as well. Thanks.
