Check out the mini-ITX line form factor. VIA is the best known maker of these and produces a whole line of motherboards. I have tested an EPIA-M (original series fanless motherboard) and it used 16 watts of power with 256MB DDR RAM installed. Add in a hard drive at about 15 watts (standard 3.5in) and a CDROM/DVD reader at 10 watts (plus an additional 10-15 watts for burners).
