If US non-profits are anything like UK charities then having the AGM and needing a quorum may not be a choice that IOLI made. Here it is the law imposed by the Charities Commission. Having a proxy vote is built into The Lace Guild's constitution and we reminded all our members about this right when the details of this year's AGM were distributed.
