I have the same problem when trying to upgrade my
firewall. I was using a Compaq and a Farallon card.
I got another computer with 2 FA310TX cards. After
different combinations of cards, I found out that the
Compaq was the only one that would communicate with
the cable modem. Right now, I am forced to use my
original box.
All of them were recognized by linux and the driver.
The card, revision, and IRQs were all correct. Like
you I thought it had do with pci-scan. Jacques sent
me a message that made me re-think that. From the
message, I gathered that pci-scan only helps to
identify the correct driver. If you know the correct
driver, you don't need it. I don't know what the
actual problem is, but I have been able to deduce a
few things.
Since the problem exists only with the first card (no
matter which NIC is used except the Compaq), the
problem has to exist with the connection. I swapped
out the cables so that isn't the problem either. The
only I can think is that my compaq NIC is already
crossed-over while none of my other NICs can. I'm not
a network hardware guy so that's my best explanation.
I'm getting a cross-over cable today to test it out.

Initial NICs were 2 generic that ran under
leaf-bering-rc2 w/tulip drivers. That floppy was
accidentally wiped (don't ask!), giving me the
opportunity to upgrade & document. Followed
installation guide for (cable) bering & 2-interface
shorwall w/the only initial modification being
adding the latest 43 kb tulip.o drivers in
/lib/modules then lrcfg > modules > backup, but
while my bios showed the NICs as using IRQs 10 & 11
& eth0 linklight was active, no MAC addresses - so I
switched to the older (41K) drivers used w/rc-2,
then switched out one of the NICs for a Netgear
FA310TX & uncommented 'netsami' (+ backup). Main
question is how to resolve, 2nd is where do I find
pci-scan.o (supposed to run 1st, but where is it),
3rd is why are the tulip.o drivers no more
(available for download in /net, 4th is what drivers
does netsami use...
