In my messings about with this stuff, I seemed to frequently get my versions mixed up. It would be worthwhile to check that the mii.o and the 8139too modules are compiled against the kernel you are using.
I have used mii and 8139too in the past without any trouble. PCI-Scan and rtl8139 is probably a more mainstream combination though?
