There's circuitry in there, but of course not a schematic.
It appears to be overcurrent protection, rather than charge management.

All you need to charge these is a 1% accurate voltage source, with an 
appropriate current limit.
I've done it on the bench.

Camcorder cells (like those all electronics ones) appear to be fine 
replacements.
Caution: Replace ALL the cells at once, not one at a time.

The only problem is in welding the tabs on.  Maybe this could be done by 
one of the major battery shops.
