Thanks for replying.
diald is not dialing the modem at all. The only thing
that seems to show any activity on the modem is the
lights I mentions (way) below. Sorry, I forgot to say
that. To run masquerading, what else do I  have to do
other than put "demasq" in my diald.conf and what
effect would that have for other PC's on my network?
I also forgot to say that my Linux box is my Samba
server and the gateway to the Internet. 
Any ideas?
