In my Debian Sarge, it is created by /etc/rcS.d/S55bootmisc.sh, and
deleted by /etc/rc2.d/S99rmnologin. Its existance on your system
suggests that a boot procedure did not complete successfully.

I'll also mention that /etc/rcS.d/S10checkroot.sh also deletes this
file, which means that if a simple reboot did not solve your problem,
something is consistently wrong in your system.
