I think what you want to do will be done by:

shutdown -h now

For disbling the ctrl-alt-del combination have a look at the
/etc/inittab file. Comment out the line (add a # to its
beginning)

ca::ctrlaltdel:/sbin/shutdown -t3 -r now 

I am sure about the shutdown business but have not tried
disbling the ctrl-alt-del myself. So treat the second suggestion
with care.
