setting umask=0 for /mnt/d in /etc/fstab did not
work; though setting mode=0444 worked fine for
mount point /mnt/cdrom, there was same problem
with the cdrom's too, which ok now.

Try
/dev/hda1 /mnt/win vfat user,exec,umask=0 0 0

Replace hda1 with whereever your FAT partition is
