Hi All, It worked !
resize2fs helped in the ext3 filesystem resizing. fdisk helped in partition resizing. I was planning to use xosl boot loader for dual-boot, which requires a fat partition and a dos bootable cd/floppy. freedos helped for that issue. At first I used xosl for dual-boot. But for some reason, the laptop used to freeze 50 % of the times in the xosl boot loader. So uninstalled xosl and used fixmbr command in the WinXP recovery console to restore the winxp boot-loader in the MBR. Booted in to Linux rescue mode. Created an image of the first sector of the linux boot partition using dd, copied it to the winxp partition and edited boot.ini. Resizing ext3 filesystem/partition was the most risky part.
