Hello All, I am going to reply to my own mail here.
        I can definately say it is something to do with the
        I-modem &/or it's settings . Please see below .sig for
        system & build info .  From the below I am making an
        educated guess that the I-modem isn't correctly setup.
        I hope the below is sufficient to info to deduce the
        possible trouble .
        
        ok, what I have done to narrow this down .

 -      First the symptoms from trying with just the I-modem .

 1      pppd /dev/ttyS1 115200   Gives , 
        'Use of setserial/setrocket to set SPD_* flags is deprecated'
        But does connect .
 2      route default properly set via pppd.
 3      ping some nearby router thru the ppp0 device .
        ping command works for as long as I don't try to telnet/ftp/...
        to another system thru ppp0 .
        If I do , the ping times run right up to 1000+ms & more then
        the connection will flat hang .  Sometimes the link will begin
        send packets out the ppp0 again .  But the telnet/ftp/...
        connection will not restart '.'

 -      Second narrowing down the trouble .
 1      setup a serial modem ttyS0 using the POTS line on the I-modem
        as the teleco connection (bad idea) .
 2      pppd /dev/ttyS1 115200   Gives , 
        'Use of setserial/setrocket to set SPD_* flags is deprecated'
        But does connect .
 3      route default properly set via pppd.
 4      ping some nearby router thru the ppp0 device .
        Ping command begins almost immediately to run right up to
        1000+ms & more then will hang for a second or two then
        continue , I didn't even attempt to telnet/ftp/... in the
        presence of this symptom .   the symptom would re-occur 
        approximately every 15-30 seconds .

 -      Third narrowing down the trouble .
 1      setup a serial modem ttyS0 using the POTS line on a
        Netgear RT328 as the teleco connection (good idea) .
 2      pppd /dev/ttyS1 115200   Gives , 
        'Use of setserial/setrocket to set SPD_* flags is deprecated'
        But does connect .
 3      route default properly set via pppd.
 4      ping some nearby router thru the ppp0 device .
        haven't had a single problem with this connection since I
        started it 5 hours ago .
