It sounds like it could be an interrupt conflict.  Check 
/proc/interrupts when you have the modem initialized.  If you 
have a line like:

                    9:      0 + serial

The "0" would indicate a conflict with having the modem on IRQ 9.
Try different IRQs until you find one free.
