A few more things come into mind, if i may add to your comments,
1) the /proc directory no need to copy them, in fact dont try, that will
fail, just create a /proc directory on the new disk with correct permissions
of course.
2) the /dev directory, possably its a good thing to create the directory
manualy then use the MAKEDEV script to create new files, i remember years
ago i tryed to do what Rod wants, i had problems afterwards, it could have
been i did it wrong, however using the MAKEDEV script should cancel out any
problems.

cp -a "should" take care of that.
If i may add, it is far better to install a new system, then just copy any
files to the new system afterwards, things like X config files, ppp config
files, anything to do with config /etc/rc.d/* /home directorys, user
accounts, /etc/passwd /etc/aliases anything in that catagory.
