What is the purpose of using two modems when you one would suffice? If
you'd like to use two modems in tandem to increase throughput (for a
theoretical bandwidth of 66kpbs for 2 modems although it is not fully
utilized) you could use multilink ppp.
It is also possible to set one modem to connect to the ISP (if this is
what you mean as an uplink) and the other modem as dial in for others (and
act as a mini ISP). If this is the case, you have to follow the steps
below.
1. configure ppp connection to the ISP
2. configure ip forwarding (and possibly masquerading)
3. configure the other modem to allow incoming ppp connections
