Thanks David.  I'm working on this same problem with Glenn.

I booted with a USB keyboard plugged into the bus that fails to TakeOver,
but it didn't make a difference.  Also, ACPI is disabled in my 2.4.27
kernel.

This BIOS doesn't have options for "USB legacy keyboard" or anything that
looks related to the problem.  For kicks, I reserved IRQ 11 to force the
controller onto it's own IRQ (10), but that didn't seem to help either.

Do you have any more ideas that I could try?  Thanks so much for any help
with this.  It is very, very appreciated!
