I have taken the NIC out, this has seemed to fix the problem, i've been up 12 hours without a freeze. I just can't quite understand why a PCI card would cause the USB Controller to halt....

One possible reason is PCI bus utilization. If the USB controller and the
NIC both make extensive demands on the PCI bus, the available bandwidth
might not be sufficient and the controller might not be able to transfer
all the data it needs. That would cause it to halt.

I guess if that actualy happens, then it's a good possibility it was happening in my case. I had 2 usb devices in use, two nics, an AGP card , oh also I have two hard drives in here, the main one (72000 rpm) of which is on it's own ATA/133 PCI card, I have an IDE 52/x cd rom so i'm sure that gobbles alot up. Then add whatever else interface/bridges (lspci shows ide, isa, and agp bridges... crappy) that might run off the PCI bus, etc. I guess your guess is as good as any that i'm going to get unless someone actualy debugged it.
