memory * 2 = swap
was a 2.2.x kernel rule. It no longer applies for 2.4.x kernels. I'd suggest at least 3x memory for swap.

Also I have winmodem(HCF 56K PCI), so which driver should I download for
using it in linux partition.
Once again, hard to say since there are many many winmodems out there that fit that description.
