Isn't that what SAMBA's used for, sharing ur Linux
files system with ur windoZe m/c's,so u can always
configure SAMBA to share ur CDROM with it's windoZe
peers.
But sharing ur modem is a different subject
altogether. Check out SQUID, u could use it as a
Caching Proxy.
