We had an issue once when you opened a test project that was created using Visual Studio 2005 in Visual Studio 2008 because the references were to the wrong assembly versions. Take a look at your *.csproj/*.vbproj file and make sure all of the Microsoft.* assembly references are for the 9.0.0.0 versions.
