Depends exactly how you set it up. If you have it so that the LTSP server
is multihomed and serving DHCP to only the interface(s) with the workstations
on there is no way it can possibly conflict. (Indeed in such a setup the
workstations wouldn't even see the W2K machine without a relay agent running.)

You will need the to make sure that the W2K DHCP server is setting
the following options for the LTSP clients.

  next-server <ip of LTSP server>;
  filename "/tftpboot/lts/boot/bootp/vmlinuz.all.bootp";
  use-host-decl-names on;

If you just use whatever the W2K machine serves up by default
then it's unlikely to work at all.

You might also need to tweak the SERVER paramater in lts.conf
too.
