What distribution/what version of tftpd are you running on the server? When I set up a ThinkNIC booting off a Redhat 6.2 server I had to replace the stock tftpd daemon that came with Redhat with a version compiled by H. Peter Anvin of Syslinux fame: tftp-hpa-0.21 (or a more recent version) can be downloaded from ftp://ftp.kernel.org/pub/software/network/tftp/. It's been about a year or so since I did it and I don't recall if I was getting quite as far in the boot process as you. After I was convinced that my configuration was correct I started to wonder about the installed tftpd daemon (which was working fine for other thin clients). I did some searching and found that H. Peter Anvin had patched the tftpd code. I installed his version and *magically* my ThinkNIC booted successfully. Hope this will be of some use to you or at least points you to a possible solution.
