Not sure which dist. you're using, but I wrote a HOWTO on automated 
shutdown/startup for Ubuntu 8.04 (should be fairly portable):

Take a look at the startup page, search for "Gotcha 1" - you might be 
experiencing what I did. Try using 'ethtool' to set your NICs as it 
shows in the directions. Let us know if it works.
