Last time, it was talk of a merger, this time it will happen, as it is a hostile takeover. M$ is paying a premium for the shares, so any shareholder who is holding Yahoo stock @ 18 USD (IIRC) per share gets to sell to M$ for 31 USD. Do you know any one who wouldn't sell a sinking stock for such a premium?
