Try setting the PAE option under system, this I found helped in the past.

Hello, 
I run an Oracle VM on 10.04, and in it has successfully been running WinXP. 
Past 2 days, i have been trying to Install 10.04 Server, as a Virtual and i run 
into some errors. 

Problem: I cannot get my Server VM to boot using its .vdi, even though its 
available in the .VirtualBox/..... 
When i perform a reset, it manages to boot, but this time into initramfs, 
claiming it cannot find the right disk in /dev/disk/by-uuid. 

No amount of editing the Machine specific files in .VirtualBox/... has returned 
any positive results. 

I neeeeed Help! 

I have attached the appropriate screen shots.
