No need to worry about MacTeX with upgrading LyX: it *should* just
work.
(Make sure you run the LyX/Mac installer, though.)
If you have problems with upgrading LyX, most likely they can be
worked
around by moving aside your LyX user's directory (~/Library/
Application
Support/LyX-1.5) and restarting LyX.
If you upgrade MacTeX, it's possible (depending on the versions of
LyX and
TeX you currently have) that LyX won't know where your new
installation of
MacTeX is. Upgrading LyX should solve that.
