Hi,

When you go to format it in Disk Utility, make sure that the actual stick is 
selected, not the volume.  That is, there should be listed something like 32 GB 
blah blah and one named whatever the stick is called.  You need to select the 
32 GB blah blah thing, then attempt the erase disk.  If that still gives you 
grief, select the same item, then go to the Partition tab, in the Current 
pop-up menu, choose one partition, choose FAT32 for the format option, then 
press the Apply and confirm your choice.  You may need to also set the 
partition map scheme to Master Boot Record in the Options button but this may 
be done automatically when you choose FAT32, I can't recall.
