On the Windows side, copy the contents of %UserProfile%\My Music\iTunes (Windows XP/Windows 7) or %UserProfile%\Music\iTunes (Windows Vista) to ~/Music/iTunes on the Mac.
Note: If the iTunes library on the Windows computer references files not in the iTunes folder, you'll need to open Edit > Preferences > Advanced and check the two boxes labelled "Keep iTunes Media Folder Organized" and "Copy Files To iTunes Media Folder When Adding To Library."
