I ran into this with an older mac. It came with 10.6, but the owner upgraded it to 10.7 some months before selling it. As it does not have a recovery partition, and as the previous owner's iCloud downloaded the Lion update, I have no way to re-install Lion should I ever need to. I would make sure your mac has a recovery partition with ML already on it (as in no iCloud required), or throw in a thumb drive configured to act as a recovery drive. Google can give you more details, but you basically want to make sure the new owner has full access to a copy of ML so that your iCloud is not needed to re-download it.
