In my experience, this is due to a corrupt repository. I actually have that same problem on one of my development machines running MGE 2007 right now but have not gotten around to restoring the repository from backups and/or saved packages. The symptoms are the mgserver service trying to start at Windows startup and consuming 100% of the CPU until it is manually killed. I have let it spin for over 1/2 hour to see if it would eventually break out of whatever it is doing, but finally lost patience.
