I get the same error when converting either to MIF or TAB.

I have encountered similar problems with Ver 5.5
My solution has been to convert the SHP file to a MIF and then import the
MIF into a
TAB file.

"Read operation failed while reading index file header.
Program Terminating
Translation FAILED.

Has anyone else run into this problem? I'm using MapInfo 6.0
