That's a good question. I gave this a shot, and this worked for me with
shp2img (MapServer on Vista machine, data on XP machine):
MAP
...
SHAPEPATH "\\MACHINENAME\sharename\pathtodatafolder"
...
LAYER
...
DATA "filename"
...
END
END
