Turned out it was the IMAGEPATH... I had the IMAGEURL as the IMAGEPATH.. Once I corrected those two settings it worked like a charm.

That eleminated the error but I get blank tiles. When I look at the WMS using Gaia 3.4.2 I can see the image. Using mapserver I get blank tiles for the same area. In other words, copy the EXTENT line from your LAYER object, and place it after your FONTSET line.
