No idea how it was created.
But the easy work around is to fill in the class name.  It works fine then.

and the reason for avcimport failing was an empty subclass name.

Interestingly the conversion worked using ArcToolBox's "Import from
Interchange File" which implies ArcInfo has no problems with empty
subclass names.
