The .php fie downloading issue sounds like a simple Apache misconfiguration, where it doesn't know a PHP file is PHP so serves it up as binary data. Does libphp5.so in SuSE come in a package, that sets up Apache properly? (Debian/Ubuntu does this.) When you solve that one, try doing the upgrade without the custom skin, so you can see if it's at least upgradable.
