Check out "Knowledge Tree".  http://www.knowledgetree.com Great document management system.  We've been using the community version for about a year, and just upgraded to the commercial version so we could use the MS Office plugin.  It was only $5000 for a site license.
 
It handles everything you mention, plus has outstanding permissioning, email alerts, workflows for documents ( kinda like electronic signatures ), and more.
