Just to notice everyone who helped me... I solved the problem by
recompiling whole thing... first I cleaned everything and tried to
compile as modules and it didn't work... so I cleaned again and compiled
php and mod right into the apache httpd again... this time it works... 
I guess when I first time compiled staticaly I didn't clean properly...
but It is just a guess...

Another small thing:

Directive:

NameVirtualHost 127.0.0.1
NameVirtualHost 127.0.0.1:8099
NameVirtualHost 127.0.0.1:8101

works fine on linux, but on solaris I get error which says:

[Thu Nov 11 12:51:09 1999] [warn] NameVirtualHost 127.0.0.1:8099 has no
VirtualHosts
[Thu Nov 11 12:51:09 1999] [warn] NameVirtualHost 127.0.0.1:8101 has no
VirtualHosts

and I need nonmidgard host on 127.0.0.1...:(

maybe I should use linux and save myself the trouble... but I really
want midgard on solaris :)))
