that is it!
Now it is clear, the layer 2 must be present to send neighbour solicitations 
for dad.
But I think the older kernel 2.6.11 is a little bit different in that point.

But know eyerthing works. I also have switched off autonegotiation and use 
10baseT Half Duplex because I only have hubs. Maybe that was also a problem.
