Mr. Breeding,

Based on statements of Frank Humphries, vice chair of the national board of 
directors of the NAACP at the branch membership meeting on February 12, 2005, 
concerning your status as administrator, I have good reason to believe that you 
lack the authority to call off the special executive committee meeting 
scheduled for Friday, Feb. 25, 2005, 7:00 PM, at Zion Baptist Church (621 
Elwood). 
Come to the meeting or send a representative with a notarized letter from the 
chairman of the National Board of the NAACP stating that you are still the 
administrator and that your order to cancel the meeting is legal and proper. 

The special executive committee was called per requirements of the 
constitution and bylaws of the NAACP (see sections on special meetings and 
duties of the 
executive committee). Please supply facts, as you know them, and language 
from the bylaws to support your assertion that the meeting was not properly 
called. 

At the special executive committee meeting on Feb. 25 there will be at least 
one written report about the findings of the Management Assistant Program 
consultant, who orally presented his findings about the condition of the branch 
and Parent Information Center records at a meeting with several branch 
executive 
committee members on Feb. 8, 2005. As you know, a written report about the 
Feb 8 meeting, or better yet, a written report from the MAP consultant, should 
have been presented to the full executive committee meeting on Feb. 11, 2005. 

I find it curious that you haven't sent a courtesy copy of this Email to 
higher-ups in the NAACP, such as national board chair Julian Bond, vice board 
chair Frank Humphries, and executive director Dennis Hayes. I will forward 
copies 
of this correspondence to those individuals as soon as possible.

Also, my computer is unable to read your attachments. Please send by mail, or 
cause to be sent by mail the current constitution and bylaws which you site, 
and furnish the address of a web site where I can attempt to download the 
files directly. And specify which article and section of the constitution 
specifically gives you authority to cancel the special executive committee 
meeting.
