Re: Improperly Called Meeting

THERE WILL NOT BE A SPECIAL EXECUTIVE [COMMITTEE] MEETING ON FEBRUARY 25, 2005

The Branch administrator must approve all meetings and must be present at all 
meetings.

The next Executive Committee meeting will be held on March 25, 2005

Approved meeting notices will come from the Branch Secretary and / or Branch 
President.

It is understandable that Mr. Carl L. Breeding does not want members of the 
branch executive committee to hear a report on findings of the branch's paid 
consultant from the Management Assistance Program, based on a review of the 
NAACP branch and Parent Information Center Books. Mr. Breeding replaced the 
branch 
president as the authorized representative of the Mpls. branch of the NAACP 
in a service contract with the state of MN in 2004. Mr. Breeding put his 
signature under the following statement

GRANTEE certifies that the appropriate person(s) have executed the Grant 
Contract on behalf of the GRANTEE as required by applicable articles,by-laws, 
resolutions, or ordinances. [Carl L. Breeding, administrator, 9/29/04]     

Please note that Mr. Breeding's characterization of the special executive 
committee meeting as "improper" is not substantiated. Mr. Breeding fails to 
cite 
facts and specific bylaws to support his characterization of the special 
meeting as "improperly called." 

Mr. Breeding does not, and cannot cite any language in the NAACP constitution 
and bylaws that states that the administrator must approve and be present at 
all meetings.

I sent out the mailing myself due to the refusal of the branch secretary to 
do it.
