MOTION TO COMPLY WITH THE LAW RULED "OUT OF ORDER"
According to my hand written notes from the March 25, 2005 Minneapolis NAACP
Executive Committee meeting, Booker Hodges stated that the move of [contents
of the] North side office [is being] postponed
The written report of Minneapolis NAACP 2nd Vice President, dated March 26,
2005 states "The moving of the contents of the North Minneapolis office has
been postponed until the rap up of the Mpls NAACP takes place with the state of
MN (the wrap up can't be completed until after the audit is done)."
The contents of the North office reportedly include financial books and
records of the Minneapolis NAACP branch prior to 2003. During the discussion
period
following the 2nd vice presidents report at the March 26, 2005 Minneapolis
branch membership meeting, I asked
"How does the wrap up of the PIC prevent you from moving branch records to
the registered office of the branch?" Then I made the following motion:
"I move that within 10 days the Minneapolis NAACP branch get in compliance
with Minnesota Statute 317A.461, subdivision 1, relating to Nonprofit
Corporations, Books & Records; financial statement. Here's the text:
"Subdivision 1. Articles and bylaws; minutes. A corporation shall
keep at its registered office correct and complete copies of its articles and
bylaws, accounting records, voting agreements, and minutes of meetings of
members, board of directors, and committees having any of the authority of the
board
of directors for the last six years."
Duane Reed ruled the above-mentioned motion "out of order" and did not allow
a challenge of his ruling.
THE $85,000 LOAN FOR INVESTMENT IN GROCERY STORES
At the March 26 meeting I also stated that at the EC meeting the previous
evening, Larry Tucker had declared that there is an audio tape of a meeting [of
the nominations committee] last fall where a former officer of the branch
stated that $85,000 was loaned to unspecified individuals for investment in
grocery
stores. (I have been trying to get my hands on a duplicate copy of that
particular tape, if it exists). That transaction reportedly happened at some
time
during the years 2001 and 2002.
I also noted that I and other EC members had been denied access to the
financial books, but were shown a sanitized collection of records from 2003 and

At the March 26, 2005 membership meeting I stated that the minutes should
include my statement for the record that the branch needed a full audit going
back to 1998. I was the only person to vote against approval of the minutes,
and
to vote against approval of reports by the Treasurer, the Report of the 2nd
Vice President, and the Report of the President.
NAACP MEMBERS HAVE NO RIGHTS THEIR OFFICERS MUST RESPECT
At the March 25, 2005 EC meeting, the chair, Duane Reed refused to recognize
me, and called me out of order and told me to be quiet whenever I tried to ask
a question, make a comment, or vote. (The votes for all reports were recorded
as unanimous in favor).
At the March 25 EC meeting Branch Administration Carl Breeding stated that
two EC members had been removed (including me, Doug Mann), and more would be
removed if necessary. Carol White was not at the meeting to receive a similar

At the branch membership meeting of March 26, 2005 the report of the
president was near the bottom of the agenda. It is usually the first report
given.
President Duane Reed prefaced his report with a speech. Shada Buyoer Hammond
did
the alleluia chorus (eg. "That's right!") in response to such oratorical gems
as: "Membership in the NAACP is a privilege, not a right" (Translation: the
membership has no rights that an officer must respect). "We must focus on the
future, not on things that happened in the past which we can't do anything
about. And anyone who isn't with that does not belong in the NAACP."
