Assuming you have more than one server, it's best to do per-seat licensing. Say you have 3 servers doing file/print, and 1 doing Exchange.
In that case, you need to have a server license for each Win2k server (total of 3). You also need a client access license for each computer that will access a Win2k server for file/print. If you have NT4 CALs for all of your workstations, you can buy upgrade CALs for Win2k. Most boxed versions of Win2k come with at least a few CALs, usualy 5 or 25. For Exchange 2000, there are only per-seat CALs.
