I run 2 Nagios with MRTG on 2 separate VMs on separate sites myself and have been for over year. Since we have 2 sites, to circumvent the issue with monitoring the ESXi server I leave that to the other site.
Site A monitors the ESXi server in Site B and vice versa. This also helps in monitoring network resources of each site. However, if you really like the idea of running it in a vm, I'd suggest putting a simple "is Nagios alive" type test outside VMware somewhere, to give you an extra layer of protection should the guest have troubles.
