In almost all of the cases that this has happened to me it has been:

a) An SNMP version that the agent does not support.

b) The community string is not configured correctly on either the querying machine or the agent machine.

c) Network issues.

If you can ping the machine then of course that rules out c. I would check a and b first and work from there. Maybe someone else on the list can offer more suggestions.
