Erm, don't you have X-Arc with NC 2? Yes. So why do you need it again?
Simply use the one from NC 2. Where's the problem?
As for the tools menu thing, there are many many many apps that do a better
job that Octopus - Scalos, DOpus and Tools Daemon (and Manager) are good
examples.
Octopus is a dock bar manager, not a tool menu editor.
