I had a similar problem when I tried to make vmware use a raw disk, it'd repeat "LI" on the screen over and over. Are you trying to access your win2k install from linux? If you are, that's considered for "advanced users" according to the vmware website, a lot of people have problems with raw disks (accessing a raw disk that isn't empty probably complicates things even more). I gave up and went back to a virtual disk. I'd suggest adding news.vmware.com to your news client and ask around on the newsgroups in there, lots of vmware experts to be found.
