I have the same problem in 8.1 with both 2.4.16.3mdk-1-1mdkenterprise and 2.4.8-26mdkenterprise kernels. I also didn't have this problem with 8.0 and Win98 still shuts down OK. I've tried "halt", "halt -p" and "shutdown -h now" but they all have the same effect: after terminating all processes the computer makes the power down sound but keeps running.
