I stumbled on something.  When boot to text mode and press Fn-F7 to 
display a "small" console window, the problem does not manifest itself. 
  As long as I start X from the smaller console, and exit to the smaller 
console, the system doesn't lock up and the screen doesn't fade!

Here are the last four lines in my XFree86.0.log file after a SUCCESSFUL 
shutdown:
