Make sure your .MSI file resides on Win2k file server (NT4 doesn't work!),
and that both the Domain Users and Domain Computers groups have read writes
on the directories where the .MSI file resides.
A similar error had me scratching my head for a while as well...

Hi All,
I'm having a problem trying to get Win2k sp2 out to our client's desktops.
Here's what I'm trying to do: I've set up a test OU and placed my computer
in the OU. I've packaged the update.msi file and associated the group
policy with the test OU. I waited a few moments and then restarted my
computer. Everything seemed to work fine, the computer settings took affect
and then it said sp2 was installing, but it didn't. This is my first
experience using GPO for application rollouts and it hasn't been a good one
as of yet. Any help would be greatly appreciated. I'm receiving these two
error in my application event log:
